License Agreement

This License Agreement ("Agreement") is entered into between Nusabytes, represented by Hilmi Rafif Fajari, whose contact information is nusabytes@gmail.com, and you, the client ("Client"), regarding the deliverables and services provided by Nusabytes (the "Work Product"). By engaging our services, Client agrees to be bound by the terms and conditions of this Agreement.

1. Grant of License and Ownership

1.1 Work Product Ownership

Upon full payment of all fees, Nusabytes grants Client ownership and all intellectual property rights to the custom-developed Work Product, including:

• Custom code, applications, and websites developed specifically for Client
• Design assets, user interfaces, and visual elements created for the project
• Documentation and technical specifications prepared for the project
• Source code and deployment configurations

1.2 Pre-existing and Third-Party Components

Nusabytes retains ownership of pre-existing code, frameworks, libraries, and tools used in the development process. Client receives a non-exclusive, perpetual license to use these components as integrated into the Work Product. Third-party software and services are subject to their respective licenses.

1.3 Portfolio Rights

Nusabytes reserves the right to showcase the Work Product in its portfolio, marketing materials, and case studies unless otherwise agreed in writing. Client may request confidentiality for sensitive projects.

2. Client Responsibilities

Client agrees to:

• Provide timely feedback, content, and resources necessary for project completion
• Ensure all provided materials do not infringe on third-party rights
• Make payments according to the agreed schedule
• Use the Work Product in compliance with applicable laws and regulations
• Maintain appropriate hosting, security, and backup measures for deployed applications

3. Restrictions

Client shall not:

• Resell or redistribute Nusabytes' proprietary frameworks or tools as standalone products
• Remove or modify copyright notices or attribution in pre-existing components
• Reverse engineer proprietary tools or methodologies used by Nusabytes
• Use the Work Product in any way that violates applicable laws or regulations

4. Intellectual Property

All intellectual property rights in custom Work Product developed specifically for Client transfer to Client upon full payment. Nusabytes retains ownership of its pre-existing intellectual property, including frameworks, methodologies, tools, and general knowledge gained during the project.

7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Singapore.

9. Entire Agreement

This Agreement, together with any project-specific statements of work, constitutes the entire agreement between Client and Nusabytes concerning the subject matter herein and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
